  1. Introduction and Acceptance

    This is a legal agreement between you (“Customer” or “You,” the company licensing the Software) and Rocket Communications (“Rocket,” “We,” or “Us”) for the Astro Toolkit for Microsoft PowerPoint software (“Software”). This Agreement governs your use of the Software, which is provided as a one-time download and is intended for use in creating designs and related presentations.

    By installing, copying, or using the Software, you agree to be bound by these terms. If you do not agree, do not install or use the Software. If you accept on behalf of an entity, you confirm you have the authority to bind that entity. If you lack authority or disagree with these terms, you must not use the Software.

  2. Definitions
    1. "Software": The Astro Toolkit for Microsoft PowerPoint, including any associated files and documentation provided by Rocket Communications with the one-time download. This license does not grant rights to any updates, new versions, or future iterations of the Software.
    2. "License": Your right to use the downloaded Software as defined in this Agreement.
    3. "Confidential Information": Non-public information one party discloses to the other, marked as confidential or reasonably understood to be confidential. Rocket’s Confidential Information includes the Software itself, its pricing, and business/technical information.
  3. License Grant

    Rocket grants You a limited, non-exclusive, non-transferable license to install and use the downloaded version of the Software within the United States. This license permits You to use the Software to create design documentation and work products for Your internal business purposes and as part of design services You render to Your clients. This license is for the version of the Software available at the time of your download only and does not include any support, maintenance, updates, or future versions from Rocket.

    License types available for purchase:

    1. Individual License: For one named user to use the Software.
    2. Team License: For up to five named users to use the Software.
    3. Project License: Unlimited users to use the Software for a single, specified project for one of Your clients or an internal project.
    4. Enterprise License: Organization-wide usage rights for the Software as specified in a separate agreement.

  4. Restrictions on Use You shall not:
    1. Copy, modify, distribute, transfer, or sublicense the Software itself to any third party (including Your clients) without Rocket’s prior written consent, except as expressly permitted for installation and use by Your licensed users.
    2. Reverse engineer, decompile, or disassemble the Software.
    3. Remove proprietary notices from the Software.
    4. Use the Software outside the United States without Rocket’s and, if required, U.S. Department of State authorization.
    5. Offer the Software itself as a standalone service, for rent, or as a bureau service to third parties. Your license permits You to use the Software to create work products (e.g., designs, presentations) for Your clients as part of Your professional services, but not to allow Your clients or other third parties direct access to or use of the Software itself.
    6. Use the Software illegally, to infringe rights, or in connection with unlawful material.
    7. Transmit viruses or harmful code through or in connection with your use of the Software on your systems.
    8. Disclose Software performance information without consent.
    9. Conduct unauthorized security testing on the Software.
    10. Commercialize or resell the Software itself.
    Violation of these restrictions is a material breach.
  5. Intellectual Property

    The Software is owned by Rocket Communications and protected by copyright and other intellectual property laws. All rights not expressly granted are reserved. You may not sell, publish, disclose, or make the Software itself available to others except as permitted herein. You may not modify or create derivative works from the Software.

  6. Limited Warranty and Disclaimer
    1. Limited Warranty: Rocket warrants the Software, as delivered in the one-time download, will perform substantially per its accompanying documentation for 90 days from the date of receipt (proof of purchase required). If the Software is defective within 90 days of original purchase, Rocket’s sole obligation will be, at its discretion, to either replace the Software free of charge or return the purchase price, at which point all licenses terminate. This warranty does not cover any updates, future versions, or ongoing services as none are provided by Rocket.
    2. Disclaimer: EXCEPT FOR THE ABOVE LIMITED WARRANTY, THE SOFTWARE IS PROVIDED "AS IS," WITHOUT ANY OTHER WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT, ALL OF WHICH YOU WAIVE. ROCKET DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OF THE DOWNLOADED SOFTWARE. YOU ARE RESPONSIBLE FOR DATA BACKUPS.
    3. Evaluation Use: If the Software is provided for evaluation, early adoption, or beta use, it is provided free of charge and "AS IS." Rocket has no liability for such use, with maximum aggregate liability limited to US $100.
  7. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKET COMMUNICATIONS SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation does not apply to breaches of confidentiality obligations. In jurisdictions not allowing such limitations, Rocket’s liability will be limited to the greatest extent permitted by law.

  8. Confidential Information

    Each party agrees to protect the other’s Confidential Information with at least reasonable care, and no less than it uses for its own similar information. Confidential Information shall only be used for purposes of this Agreement and not disclosed to third parties, except to representatives with a need to know who are bound by similar confidentiality duties. Each party is responsible for its representatives’ compliance.

    Obligations do not apply to information that: (a) is public through no fault of the receiver; (b) was already known to the receiver without confidentiality obligations; (c) is rightfully received from a third party not under confidentiality obligations; or (d) is independently developed by the receiver without using the discloser’s Confidential Information.

    If required by law to disclose Confidential Information, the receiving party will notify the disclosing party (if legally permitted) to allow for a protective order. Unauthorized disclosure may cause irreparable harm, entitling the disclosing party to seek injunctive relief.

  9. Termination

    This License is effective until terminated. Rocket may terminate this License if You fail to comply with its terms, or immediately if You violate ITAR or export control laws.

  10. Export Controls

    You are responsible for obtaining necessary export licenses or authorizations required by ITAR or other applicable export control regulations for the Software.

  11. Governing Law

    This Agreement is governed by the laws of California, USA.

  12. Entire Agreement

    This Agreement is the entire agreement between You and Rocket concerning the Software and supersedes all prior communications or agreements.
